Cogentrix has retained its valuable expertise in the project development arena.
Personnel with specialized skills in the areas of permitting, regulatory
approvals, and marketing make up the Cogentrix development team and all
are engaged for the express purpose of accelerating the development strategy of
Cogentrix. Personnel from other disciplines participate in the Company’s
development efforts. Groups of particular note in this effort are Environment,
Health and Safety, Engineering, Legal, Finance, Asset Management and operations.
Bill Felts is Senior Vice President of Development for Cogentrix. In this capacity, Mr.
Felts is responsible for all development activities for the company and is a
member of Cogentrix Energy's management committee. Prior to his current
position, Mr. Felts was Vice President of Asset Management at Cogentrix and
Vice President of Development at Cogentrix. Prior to joining Cogentrix, Mr.
Felts held various positions at Indeck (an independent power producer) and
Commonwealth Edison Company (a large investor-owned utility). Mr. Felts has
over 24 years of experience in the electric power generation industry.

Jef Freeman is Vice President of Development for Cogentrix in the Charlotte office. In this capacity he has
responsibility for all solar thermal integration project development and fossil
project development for the Company. Mr. Freeman has served as Chief
Civil/Structural Engineer, Vice President of Development, Vice President
for Public and Governmental Affairs and Director of Asset Management since
originally joining Cogentrix in 1986. Mr. Freeman has over 30 years of
experience in a wide range of capacities within the electric power generation industry.

Eduardo Hernandez-Carstens is Vice President- Development for Cogentrix in the Charlotte office, and is focused in renewable
energy power generation and Demand Side Management options. He has over 25
years prior experience in a large integrated energy company where he
participated in acquisitions of international downstream assets. Mr.
Hernandez-Carstens was responsible for the introduction and negotiation of long
term supply contracts of a patented boiler fuel to North American utilities,
and structured complex multi-party capital investments in the power industry,
successfully marketing projects in Europe, Latin America, Canada and the United

Ed MacGuffie is Vice President in charge of Solar Development for Cogentrix in the Charlotte office. Prior to his
current position, Mr. MacGuffie was Executive Director, Solar for FPL Energy.
Mr. MacGuffie's experience in the solar market includes managing the
acquisition of the Kramer SEGS III-VII plants in California; initiating a $100
million solar field recapitalization effort at both Kramer SEGS III-VII and
Harper SEGS VIII-IX solar generating facilities; and identifying and
negotiating a joint-venture for solar development in Spain for his previous
employer. Mr. MacGuffie has also led and taken part in negotiations for PPAs
and solar field supply contracts and components.

Gary Palo is Vice President of Development for Cogentrix in the California office and is responsible for
overseeing the development of renewable generation facilities there,
with a principal focus on solar powered generation projects. Before joining
Cogentrix, Mr. Palo was Director of Development with FPL Energy, LLC, where he
managed the development of the $1 billion Beacon Solar Energy Project, a
proposed 250 MW concentrating solar power facility using parabolic trough
technology located in the western Mojave Desert region of California. Mr. Palo
has extensive experience in the development of natural gas fired and renewable
electric power projects, including associated interconnecting transmission
lines, on both federal and private lands in California. He has been active in
the independent power industry for the past 24 years and is fully knowledgeable
of the applicable regulatory agency requirements.
