The management of Cogentrix believes that the strength and competitive positioning of an organization is highly correlated to the quality, timeliness and consistency of the decision making in the organization.

Within the firm, Cogentrix has adopted a matrix approach to decision making and the allocation of responsibilities associated with each project, both operating and developmental. A project lead is assigned overall deal responsibility, and a team of multi-functional experts, typically including members of the firm’s engineering, asset management, operations, legal and finance departments, are selected as team members.

For broader, more strategically oriented issues and decisions, the management committee is typically involved and decisions are reached with input from all sources of relevant expertise within the Company. The Company has found that this approach minimizes the barriers and maximizes the collective incentives to achieve the targeted outcomes for each project and transaction.

At the senior-most management level, the open communications and inclusion of the entire management committee in material decisions shaping the future of the Company and the nature of opportunities pursued is among the reasons Cogentrix has consistently delivered above-market returns.

Bob Mancini is Chief Executive Officer and a member of the Board of Directors of Cogentrix. Mr. Mancini is also a Managing Director in Commodities at Goldman Sachs and currently heads that firm's power asset investment businesses. Mr Mancini served as Co-President, Chief Commercial Officer and Board Member of Cogentrix from 2003-2006. In 2007 Mr. Mancini resigned his position as an officer of Cogentrix to start the commodities principal investment business at Goldman but remained on the Board of Cogentrix. In February 2010 Mr. Mancini returned to Cogentrix to serve as CEO.

Mr. Mancini has been with Goldman since 1993, and in 1999 was named Managing Director and Deputy General Counsel for the FICC Division. Prior to joining Goldman Mr. Mancini practiced law in private practice at Debevoise & Plimpton. Mr. Mancini earned a BA from Binghamton University in 1980 and a JD from New York University School of Law in 1984.

Tom Bonner is President of Cogentrix and a member of the Board of Directors of Cogentrix. Mr. Bonner has over 28 years of experience in the management of power and steam operations in both the electric power, and fiber and chemical industries. He joined Cogentrix in 1987 and has 23 years of experience with the company. Mr. Bonner earned a BS from the United States Naval Academy and an MBA from Old Dominion University.

Doug Miller, who joined Cogentrix in January 2008, is Executive Vice President, General Counsel of Cogentrix. Mr. Miller has over 34 years experience in the electric energy industry. He has extensive experience in competitive electric power project development, acquisitions, divestitures, and financings, as well as in electricity regulation and corporate governance and compliance. Prior to joining Cogentrix, Mr. Miller was Senior Vice President and General Counsel of Southern Energy and Mirant Corporation. Mr. Miller has also been a partner at Troutman Sanders LLP and a senior counsel at Alston & Bird LLP.

Bill Felts is Executive Vice President of Development with Cogentrix. In this capacity, Mr. Felts is responsible for all development activities for the company. Prior to his current position, Mr. Felts was Vice President of Asset Management at Cogentrix and Vice President of Development at Cogentrix. Prior to joining Cogentrix, Mr. Felts held various positions at Indeck (an independent power producer) and Commonwealth Edison Company ( a large investor-owned utility). Mr. Felts has over 24 years of experience in the electric power generation industry.

Dick Gray is Senior Vice President – Engineering & Construction with Cogentrix.  In this capacity, Mr. Gray is responsible for both corporate and plant engineering, purchasing and construction for the operating plants as well as for new facilities.  Mr. Gray is also responsible for implementation of power projects from financial closing to commercial operation.  For major projects, this includes responsibility for budget, schedule, technical requirements, start-up and operations support and implementation of plant projects requiring engineering support. Since joining Cogentrix in January 1985, Mr. Gray also served as Assistant VP, Virginia Regional Manager (O&M) and Construction Project Manager.  Previously, Mr. Gray held field mechanical engineering positions on five pulverized coal projects with both Brown and Root and Burns and Roe.  Mr. Gray has over 30 years experience in the power industry.

John Gasbarro
is Senior Vice President, Fuels, Asset Management and M&A for Cogentrix. In this capacity he is responsible for all fuels related aspects of the company’s power facilities. Mr. Gasbarro is also responsible for all commercial related activities on the Portsmouth, Hopewell, Cedar Bay and Sunray facilities as well as the execution of transactional activities associated with the sale and purchase of new or existing assets. Mr. Gasbarro joined Cogentrix in November of 2004 and has over 35 years of experience in the energy industry including nuclear and fossil generation.

Richard Neff is Vice President – Environmental Affairs with Cogentrix. He is an environmental engineer and responsible for the managing the compliance and programmatic activities of the EHS Department on a day to day basis. Activities include general, department administrative duties, permitting and compliance monitoring at the company’s operating plants, advising the company on potential regulatory changes, and is also directing the environmental permitting efforts for multiple energy development projects. Prior to joining Cogentrix, Mr. Neff was a consulting engineer for twenty years. His practice focused on environmental permitting for energy development projects and water resources engineering.

Mark Rudolph is Senior Vice President, Finance and Interim Chief Financial Officer of Cogentrix. Mr. Rudolph is responsible for overseeing the treasury, cash management, and payroll operations for the company as well as managing the extensive project financing debt portfolio as well as the accounting functions at Cogentrix Energy. Mr. Rudolph has over 17 years of experience in private and public accounting, with significant experience in the accounting operations for the electric generating industry, including in the areas of financial reporting, partnership accounting, budgeting and forecasting. Prior to joining Cogentrix Energy, Mr. Rudolph worked for TECO Wholesale Generating Company and certain of its subsidiaries in Tampa, Florida.

Cliff Evans is Senior Vice President, Asset Management for Cogentrix Energy. In this capacity Mr. Evans is responsible for all commercial aspects of a significant portion of Cogentrix Energy’s portfolio. Mr. Evans has over 29 years of experience in the power generation industry, including 3 years with an OEM, 6 years with a regulated public utility and 19 years in the independent power industry. Responsibilities have included field engineering, plant management, environmental compliance, and asset and operations management. Mr. Evans holds a Bachelors of Engineering degree as well as a Masters in Business Administration degree.

Gary Carraux is Senior Vice President, Chief Administrative Officer for Cogentrix Energy. In his current capacity, Mr. Carraux is responsible for the Materials Management and Information Technology functions, as well as Risk Management of the Cogentrix Energy portfolio.  Mr. Carraux has over 31 years of experience in the development, construction and operational support of power generating facilities.  Mr. Carraux was the Co-Project Manager of the PeopleSoft Integration Project responsible for the business processes aspect of the project as well as overall project scope, cost and schedule.  Mr. Carraux is a member of the National Society of Professional Engineers, The American Association of Cost Engineers and the Society of American Military Engineers.

Bill Hashe has been Vice President – Tax for Cogentrix since September 2005. In this capacity Mr. Hashe is responsible for directing the tax function for Cogentrix Energy’s portfolio. Prior to joining Cogentrix, Mr. Hashe worked as Director of Tax for The AES Corporation, an independent power producer with operations throughout the world, primarily working on tax planning, mergers, acquisitions, divestitures and business development. Mr. Hashe has approximately 18 years experience working in the tax field and approximately 9 years experience in the energy industry. Mr. Hashe started his career in public accounting at Arthur Andersen.

Linda Okowita is Senior Vice President - Human Resources for Cogentrix. In this role, she has overall accountability for all aspects of Human Resources across the corporation. These include, but are not limited to, Strategic HR Planning, Benefits & Compensation, Mergers/ Acquisition/ Divestitures, Employee Relations, Leadership Development and Staffing. Prior to joining Cogentrix, Ms. Okowita spent over 18 years in the Human Resources field, working in both Canada and the U.S., servicing global Fortune 500 corporations in mainly the telecommunications and automotive industries. Over the course of her career she has held positions of increasing responsibility supporting and working with Senior Leadership Teams, and their employees, across the globe. In addition to her professional and community service activities, Ms. Okowita is currently a member of the Business Advisory Council at the University of North Carolina/ Charlotte as well as serving on the Board of Directors for the Independent Energy Human Resources Association.
